1. Agreement to Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and WanguCRM Software Co. (“we,” “us,” or “our”), concerning your access to and use of the WanguCRM CRM application and marketing website (wangucrm.com).

By registering for an account or using our services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are prohibited from using the service.

2. Accounts & Registration

To access the platform, you must create a business account. You agree to:

  • Provide accurate, current, and complete registration info.
  • Maintain the security of your password and credentials.
  • Promptly update account info if details change.
  • Accept responsibility for all activities that occur under your account and team member seats.

We reserve the right to remove, reclaim, or change a username or workspace identifier if we determine it is inappropriate or infringes on trademark rights.

3. Fees, Subscription & EcoCash Billing

WanguCRM is billed on a subscription basis (monthly or annually) according to your selected plan tier.

  • EcoCash & Local Billing: For convenience in Zimbabwe, we support EcoCash payments alongside credit/debit card billing. You are responsible for ensuring that payments are authorized and have sufficient funds.
  • Grace Periods & Suspension: If subscription fees are unpaid, your access to the team inbox and WhatsApp synchronization will be suspended until payment is settled.
  • Cancellations: You can cancel your subscription at any time. Cancellations will apply at the end of the current billing cycle, and no refunds are provided for partial months.

4. WhatsApp Business API Compliance

WanguCRM integrates with the WhatsApp Business Cloud API provided by Meta. Your use of this integration is subject to the following rules:

  • Meta Policy: You must strictly comply with Meta’s WhatsApp Business Terms of Service and Commerce Policy. Selling prohibited goods or services via WhatsApp is banned.
  • Spam & Consent: You must have prior opt-in consent from customers before sending templates or broadcast messages. Sending unsolicited bulk promotional messages is forbidden.
  • Account Suspension: If Meta flags or bans your WhatsApp phone number due to spam complaints or violation of their policies, WanguCRM is not liable, and no refunds will be issued for remaining subscription periods.

5. Intellectual Property Rights

Unless otherwise indicated, the WanguCRM platform, including source code, database structures, designs, icons, logos, and UI patterns, is our proprietary property and is protected by copyright and trademark laws.

Your customer database, chat histories, contact records, and messages remain your sole intellectual property. We claim no ownership over the data you upload or import into the CRM.

6. Disclaimers & Limitation of Liability

The service is provided on an “as-is” and “as-available” basis. You agree that your use of our services is at your sole risk.

To the maximum extent permitted by law, WanguCRM shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, revenue, or business data) arising from:

  • Outages or latency issues caused by Meta's WhatsApp Cloud API infrastructure.
  • Network connectivity drops, load-shedding events, or local ISP outages in Zimbabwe.
  • Unauthorized access to your account due to weak passwords or shared team accounts.

7. Governing Law

These Terms and your use of the WanguCRM platform are governed by and construed in accordance with the laws of Zimbabwe, without regard to conflict of law principles.

Any legal action or dispute arising out of these Terms shall be resolved in the competent courts of Harare, Zimbabwe, and you consent to personal jurisdiction in such courts.
